The terms of the deal.

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the SpendShield mobile application and the spendshield.app website (together, the “Service”), provided by Nexint Technology Solutions (“SpendShield,” “we,” “us”). By using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. By using SpendShield you represent that you meet these requirements.

3. The Service

SpendShield is a personal-finance tool that helps you track spending, categorize transactions, scan statements and receipts, and set budgets and goals — with your financial data processed on your device. The Service is provided for personal, non-commercial use. We may add, change, or remove features over time.

SpendShield is an informational tool, not a financial, investment, tax, or legal advisor. Insights, projections, and categorizations are estimates to help you make your own decisions, and should not be relied on as professional advice.

4. Your account and data

You are responsible for safeguarding the device on which SpendShield runs and any credentials used to access the Service. Because your financial data is stored on your device, keeping that device secure — including using the app lock and device-level protections — is important. You are responsible for maintaining your own backups where the Service does not provide them.

5. Linked financial accounts

If you connect a financial institution, you authorize SpendShield and our aggregation provider to access transaction and account information from that institution on your behalf. You are responsible for ensuring you have the right to connect those accounts. Account connectivity depends on third parties and may be interrupted or discontinued; we do not guarantee that any particular institution will remain available.

6. Subscriptions and billing

SpendShield offers a free tier and paid plans (such as Shield and Shield+). Paid plans are billed in advance on a recurring basis through the applicable app store or payment processor and renew automatically until canceled. You can manage or cancel a subscription through your app-store account settings. Except where required by law, payments are non-refundable. Prices may change with notice; changes apply to subsequent billing periods.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Reverse engineer, decompile, or attempt to extract source code, except where permitted by law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or related systems.
• Resell, sublicense, or commercially exploit the Service without our written permission.
• Upload malicious code or use the Service to infringe the rights of others.

8. Intellectual property

The Service, including its software, design, logos, and content (excluding your own data), is owned by SpendShield and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use in accordance with these Terms. You retain ownership of the financial data and content you create.

9. Third-party services

The Service relies on third parties, including app stores, payment processors, and financial-data aggregators. Your use of those services is governed by their respective terms and policies, and we are not responsible for their acts or omissions.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data imported from third parties will be complete or accurate.

11. Limitation of liability

To the maximum extent permitted by law, SpendShield and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or financial outcomes, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or fifty U.S. dollars.

12. Indemnification

You agree to indemnify and hold harmless SpendShield and its affiliates from any claims, losses, or expenses arising out of your misuse of the Service or violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time and delete your data through the app. We may suspend or terminate your access if you violate these Terms or to comply with the law. Provisions that by their nature should survive termination — including ownership, disclaimers, and limitation of liability — will survive.

14. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Nexint Technology Solutions is established, without regard to conflict-of-law rules. You agree that disputes will be resolved in the courts of that jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and provide notice through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.
